Collins is looking for an Assistant General Counsel who is a self-motivated, passionate attorney to provide general legal counsel to the Aerostructures business unit, a portfolio company within the Advanced Structures Strategic Business Unit. In this role you will negotiate and influence internal and external parties and represent the organization in complex legal matters. You will communicate with top executives regarding matters of critical and strategic importance such as transactions in the ordinary course of business, strategic transactions, dispute resolution (including mediation, arbitration, and litigation), and practice in commercial, government, employment, M&A, antitrust, environmental, real estate, corporate, intellectual property, contracts, and licensing law. You will also develop strategies to ensure best practices are used when focusing on the achievement of business results through legal action and activities.

This position is primarily on-site in Chula Vista.

Relocation assistance is available.

Primary Responsibilities:

  • Represent company on internal and external legal issues.

  • Act as a strategic business partner to review, draft, negotiate, and advise on a wide variety of agreements to meet business and legal requirements, including purchase and sale agreements, licensing agreements, non-disclosure agreements, channel partner contracts, professional services agreements and, partner with relevant business stakeholders as necessary.

  • Act as strategic business partner to effectively manage and resolve disputes.

  • Support, coach, and train contracts, sales, supply chain, quality, engineering, and other functional teams on deal structure, contract negotiations, commercial best practices and maintains playbook of business terms.

  • Continuously improve standard form agreements and legal processes to help scale the legal function.

  • Aid in the development and implementation of processes, procedures, and metrics (including efficient contracting processes) to increase the overall effectiveness of the legal services provided to the company.

  • Provide sound legal and business advice to all functional team members and members of senior management regarding strategic business relationships.

  • Address legal risk in business-centric ways, developing processes to solve problems, strengthening partnerships, and advancing opportunities.

  • Experience in contract formation (including detailed reviews of solicitation and evaluation documents for source selections).

  • Understand data rights and other intellectual property issues.

  • Deep knowledge of commercial terms and conditions, including commercial item criteria for government contracts.

  • Litigation and alternative dispute resolution, as it arises.

  • Interpret complex laws, rulings, and regulations and provides expertise to individuals and businesses on legal issues to ensure compliance with relevant laws and regulations.

  • Support other procurement related legal issues as they arise.

  • Other duties as assigned from time to time.

Qualifications/ Experience Needed:

  • Typically requires a University Degree and minimum 14 years prior relevant experience or a Juris Doctor Degree from an ABA-accredited institution and minimum 12 years of experience.

  • Admission to the bar of at least 1 US state with the ability to be admitted as In-House Counsel.

  • U.S. Person (U.S. citizen, permanent resident, refugee or asylee) or eligible to obtain necessary export authorizations required.

The salary range for this role is 188,000 USD - 378,000 USD. The salary range provided is a good faith estimate representative of all experience levels. RTX considers several factors when extending an offer, including but not limited to, the role, function and associated responsibilities, a candidate’s work experience, location, education/training, and key skills.Hired applicants may be eligible for benefits, including but not limited to, medical, dental, vision, life insurance, short-term disability, long-term disability, 401(k) match, flexible spending accounts, flexible work schedules, employee assistance program, Employee Scholar Program, parental leave, paid time off, and holidays.
